Terms of Service

1. Acceptance of Terms
By creating an account, accessing, or using Oryx360 Suite ("the Service"), you agree to be bound by these Terms of Service. If you are agreeing on behalf of a school, you confirm you have the authority to bind that institution to these terms. If you do not agree, do not use the Service.
2. Description of Service
Oryx360 Suite is a cloud-based school information and e-learning management system providing student records, gradebook and report cards, attendance, fee invoicing and Mobile Money payment collection, messaging, and related administrative tools for schools and colleges operating in Zambia.
3. Accounts and Access
Each user (school administrator, bursar, teacher, IT support staff, parent/guardian, or student) is issued an individual account. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately if you suspect unauthorized access. Schools are responsible for the accuracy of the roles and permissions they assign to their staff.
4. Subscriptions and Payments
Schools subscribe to a paid plan (Starter, Standard, or Premium), billed monthly or per academic term. Fees are payable via the methods made available in the platform, including Mobile Money. Late or failed payment may result in restricted access to paid features until the account is brought current. Fees already paid are non-refundable except where required by law.
5. Acceptable Use
You agree not to: use the Service for any unlawful purpose; attempt to gain unauthorized access to another school's data or another user's account; upload content that is defamatory, abusive, or infringes another party's rights; or interfere with the security or normal operation of the Service. We may suspend or terminate accounts that violate this section.
6. Ownership of Data
Your school retains ownership of all student, staff, and financial records entered into the Service ("Your Data"). We do not sell Your Data. We process it only as necessary to provide the Service, as described in our Privacy Policy. On request, and subject to any outstanding fees, we will provide a reasonable export of Your Data.
7. Intellectual Property
The Service, including its software, design, and branding, is owned by Oryx360 Suite and its licensors and is protected by applicable intellectual property laws. These Terms do not grant you any right to use our trademarks or branding without prior written consent.
8. Availability and Support
We aim for high availability of the Service but do not guarantee it will be uninterrupted or error-free. Planned maintenance will be communicated in advance where practical. Support is provided through the channels described on our Help Center and Contact Us pages.
9. Termination
Either party may terminate a subscription in accordance with the agreed billing terms. We may suspend or terminate access immediately if these Terms are materially breached, including non-payment or unlawful use of the Service. Upon termination, we will retain Your Data for a reasonable period to allow export, after which it may be deleted in line with our data retention practices.
10. Limitation of Liability
To the maximum extent permitted by law, Oryx360 Suite shall not be liable for indirect, incidental, or consequential damages arising from use of the Service. Our total liability for any claim relating to the Service is limited to the fees paid by your school in the twelve (12) months preceding the claim.
11. Governing Law
These Terms are governed by the laws of the Republic of Zambia. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Zambia.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated to school administrators in advance where practical. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
